Terms of Service

These Terms of Service ("Terms") govern your access to and use of the CreativePlay Network platform and related services (collectively, the "Service") operated by CreativePlay Network ("we," "us," or "our"). By accessing or using our Service, you agree to be bound by these Terms. If you disagree with any part of these Terms, you may not access the Service.
1. Acceptance and Eligibility
1.1 Age Requirement
You must be at least 18 years old to use our Service. By using the Service, you represent and warrant that you are at least 18 years of age.
1.2 Business Use
Our Service is designed for business-to-business (B2B) use. By creating an account, you represent that you are authorized to bind the business entity you represent to these Terms.
1.3 Account Registration
You must provide accurate, complete, and current information during registration. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
2. Service Description
2.1 Platform Overview
CreativePlay Network operates a B2B marketplace that connects retail buyers with independent makers and artisan brands for wholesale product discovery and ordering. The Service includes multi-tenant organizations to serve different market segments.
2.2 Account Types
- Maker Accounts: For brands, manufacturers, and artisans listing products for wholesale
- Retail Buyer Accounts: For retailers seeking products to purchase at wholesale prices
2.3 Platform Role
We provide a platform for connections between makers and buyers. We are not a party to transactions between users and do not guarantee any specific outcomes from using the Service.
3. User Accounts and Teams
3.1 Account Management
Users may create personal or team accounts. Team accounts allow multiple users to collaborate under a single business entity. Account owners can invite team members and manage their roles and permissions.
3.2 Multi-Tenancy
Our Service operates multiple tenant organizations. Data is isolated between organizations, and users can only access data within their assigned organization.
3.3 Account Switching
Users with access to multiple accounts may switch between them. Each account maintains separate data, settings, and subscriptions.
4. Subscriptions and Payments
4.1 Subscription Plans
Maker accounts may subscribe to paid plans that provide enhanced features, including:
- Increased product listing limits
- Event participation credits
- Enhanced analytics and insights
- Priority support
4.2 Billing
Subscriptions are billed on a recurring basis (monthly or annually) through our payment processor, Stripe. You authorize us to charge your payment method for all applicable fees.
4.3 Refunds
Subscription fees are non-refundable except as required by law or as explicitly stated in our refund policy. You may cancel your subscription at any time, and it will remain active until the end of the current billing period.
4.4 Price Changes
We reserve the right to modify subscription prices. We will provide at least 30 days' notice before any price increase takes effect for existing subscribers.
5. User Content and Product Listings
5.1 Content Ownership
You retain ownership of content you submit to the Service ("User Content"). By submitting User Content, you grant us a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, and display such content in connection with operating the Service.
5.2 Content Accuracy
You are responsible for ensuring all information in your listings and profiles is accurate, current, and compliant with applicable laws. Misleading or false information may result in account suspension or termination.
5.3 Prohibited Content
You may not submit content that:
- Violates any law or regulation
- Infringes on intellectual property rights
- Contains false or misleading information
- Is defamatory, harassing, or threatening
- Contains viruses or malicious code
- Violates export control laws
5.4 Content Moderation
We reserve the right to review, modify, or remove any User Content that violates these Terms or is otherwise objectionable, without prior notice.
6. Messaging and Communications
6.1 B2B Communications
Our messaging system facilitates professional B2B communications between makers and retail buyers. All communications must be professional and related to legitimate business purposes.
6.2 Messaging Restrictions
To protect users from unsolicited communications, makers can only send messages to retail buyers after the retail buyer has initiated contact.
6.3 Prohibited Communications
You may not use our messaging system to:
- Send spam or unsolicited promotional messages
- Harass, threaten, or intimidate other users
- Share contact information to circumvent the platform
- Conduct fraudulent activities
6.4 Blocking and Reporting
Users may block other users to prevent further communications. Please report any violations of these Terms through our support system.
7. Privacy and Data Protection
7.1 Data Collection
Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.
7.2 Third-Party Integrations
We integrate with third-party services including Stripe (payments), HubSpot (CRM), and Amazon Web Services (file storage). Your use of the Service constitutes consent to share necessary data with these providers.
7.3 Data Security
We implement reasonable security measures to protect your data. However, no method of transmission over the Internet is 100% secure, and we cannot guarantee absolute security.
8. Intellectual Property Rights
8.1 Platform IP
The Service, including its design, features, and content (excluding User Content), is owned by us and protected by intellectual property laws. You may not copy, modify, or reverse engineer any part of the Service.
8.2 Trademarks
Our trademarks and trade dress may not be used without our prior written permission. All other trademarks are the property of their respective owners.
8.3 DMCA Compliance
We respect intellectual property rights and will respond to valid DMCA takedown notices. If you believe your copyright has been infringed, please contact us with the required information under the DMCA.
9. Prohibited Activities
You may not:
- Use the Service for any illegal purpose or in violation of any laws
- Create fake or misleading accounts or listings
- Manipulate prices or engage in fraudulent transactions
- Scrape, harvest, or collect data from the Service without permission
- Interfere with or disrupt the Service or its servers
- Attempt to gain unauthorized access to any portion of the Service
- Use the Service to distribute malware or harmful code
- Violate export control laws or regulations
- Resell or redistribute access to the Service without authorization
- Impersonate another person or entity
10. Disclaimers and Limitations of Liability
10.1 Service Provided "As Is"
THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
10.2 No Guarantee of Results
We do not guarantee any specific results from using the Service, including but not limited to successful transactions, connections, or business outcomes.
10.3 Third-Party Transactions
We are not a party to transactions between users. We do not guarantee the quality, safety, or legality of products listed, the truth or accuracy of listings, or the ability of users to complete transactions.
10.4 Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES RESULTING FROM YOUR USE OF THE SERVICE.
10.5 Liability Cap
Our total liability to you for any claims arising from or related to these Terms or the Service shall not exceed the greater of (a) $100 or (b) the amount you paid us in the 12 months preceding the claim.
11. Indemnification
You agree to indemnify, defend, and hold harmless CreativePlay Network, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with:
- Your access to or use of the Service
- Your violation of these Terms
- Your violation of any third-party rights
- Any User Content you submit
- Any transactions or interactions with other users
12. Account Termination
12.1 Termination by You
You may terminate your account at any time through your account settings. Termination does not relieve you of any obligations incurred prior to termination.
12.2 Termination by Us
We reserve the right to suspend or terminate your account at any time for violations of these Terms or for any other reason at our sole discretion, with or without notice.
12.3 Effect of Termination
Upon termination, your right to use the Service will immediately cease. We may retain certain information as required by law or for legitimate business purposes.
12.4 Subscription Cancellation
If you have an active subscription, termination will cancel future billing but will not result in a refund for the current billing period.
13. Dispute Resolution
13.1 Informal Resolution
Before filing a claim, you agree to try to resolve any dispute informally by contacting us. We'll try to resolve the dispute informally by contacting you via email.
13.2 Binding Arbitration
If we cannot resolve a dispute informally, any dispute arising from these Terms or the Service shall be resolved through binding arbitration in accordance with the American Arbitration Association's rules.
13.3 Class Action Waiver
YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION.
13.4 Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles.
14. Changes to Terms
14.1 Modifications
We reserve the right to modify these Terms at any time. We will notify you of material changes by updating the "Effective Date" and by sending you a notification through the Service or via email.
14.2 Acceptance of Changes
Your continued use of the Service after the effective date of revised Terms constitutes your acceptance of the changes. If you do not agree to the revised Terms, you must stop using the Service.
15. General Provisions
15.1 Entire Agreement
These Terms, together with our Privacy Policy and any other agreements expressly incorporated by reference, constitute the entire agreement between you and us regarding the Service.
15.2 Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions will continue to be valid and enforceable.
15.3 Waiver
Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.
15.4 Assignment
You may not assign or transfer your rights under these Terms without our prior written consent. We may assign our rights and obligations under these Terms without restriction.
15.5 Force Majeure
We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, riots, embargoes, or acts of civil or military authorities.
